Version applicable \u00e0 l\u2019ensemble des prestations d\u2019OFSIP S.A.R.L.<\/strong><\/p>\n\n\n\n Les pr\u00e9sentes Conditions G\u00e9n\u00e9rales de Vente (CGV) r\u00e9gissent l\u2019ensemble des prestations propos\u00e9es par OFSIP S.A.R.L., notamment :<\/p>\n\n\n\n Toute commande implique l\u2019adh\u00e9sion pleine et enti\u00e8re du Client aux pr\u00e9sentes CGV, sauf stipulation contraire expresse et \u00e9crite sign\u00e9e entre les Parties. En cas de prestations sortant de ce cadre, un contrat de prestation sp\u00e9cifique<\/strong> avec clauses particuli\u00e8res devra \u00eatre n\u00e9goci\u00e9 et sign\u00e9 par les deux Parties.<\/p>\n\n\n\n L\u2019acceptation d\u2019un devis ou d\u2019une offre de prix par le Client vaut commande ferme et d\u00e9finitive, et adh\u00e9sion aux pr\u00e9sentes CGV \u00e0 l\u2019exclusion de toutes autres conditions. OFSIP se r\u00e9serve le droit de refuser toute demande de modification d\u2019une offre apr\u00e8s son acceptation, sauf accord expr\u00e8s et \u00e9crit.<\/p>\n\n\n\n Les offres de prix sont valables 30 jours<\/strong> \u00e0 compter de leur date d\u2019\u00e9mission. Les prix sont exprim\u00e9s en euros, hors taxes (HT) et toutes taxes comprises (TTC). Pass\u00e9 ce d\u00e9lai, OFSIP se r\u00e9serve le droit de modifier les conditions tarifaires sans pr\u00e9avis. Toute commande ult\u00e9rieure sera alors soumise \u00e0 une nouvelle offre de prix.<\/p>\n\n\n\n Les prestations sont r\u00e9alis\u00e9es dans les d\u00e9lais convenus, sous r\u00e9serve de la disponibilit\u00e9 des produits, du personnel et de l’acc\u00e8s aux locaux. Les factures sont payables \u00e0\u00a030 jours \u00e0 compter de leur \u00e9mission<\/strong>, par virement bancaire. Tout retard entra\u00eenera des p\u00e9nalit\u00e9s de\u00a010 % par mois<\/strong>, sans pr\u00e9judice du droit pour OFSIP de suspendre ses prestations<\/p>\n\n\n\n Toute modification ou annulation doit \u00eatre faite par \u00e9crit et approuv\u00e9e par OFSIP.<\/p>\n\n\n\n Formations intra ou inter-entreprises :<\/strong><\/p>\n\n\n\n Annulation \u00e0 l\u2019initiative d\u2019OFSIP pour les formations inter-entreprises :<\/strong> Autres prestations :<\/strong> des frais peuvent s\u2019appliquer en cas d\u2019annulation ou de report non anticip\u00e9, incluant tout co\u00fbt engag\u00e9, pr\u00e9judice op\u00e9rationnel ou mobilisation logistique d\u00e9j\u00e0 planifi\u00e9e.<\/p>\n\n\n\n La livraison est effectu\u00e9e \u00e0 l\u2019adresse convenue. Les risques sont transf\u00e9r\u00e9s au Client \u00e0 la livraison. Les produits livr\u00e9s restent la propri\u00e9t\u00e9 d\u2019OFSIP jusqu\u2019au paiement int\u00e9gral de la facture.<\/p>\n\n\n\n Les produits b\u00e9n\u00e9ficient d\u2019une garantie constructeur telle que d\u00e9finie dans les documents techniques. La garantie exclut toute d\u00e9faillance due \u00e0 l\u2019usure normale, une mauvaise utilisation ou un d\u00e9faut d\u2019entretien.<\/p>\n\n\n\n Toute fourniture, mise en conformit\u00e9 ou prestation non incluse dans l\u2019offre initiale fera l\u2019objet d\u2019un devis compl\u00e9mentaire soumis \u00e0 l\u2019acceptation \u00e9crite du Client. Leur ex\u00e9cution est conditionn\u00e9e \u00e0 cette acceptation.<\/p>\n\n\n\n Les documents de formation (feuilles d\u2019\u00e9margement, attestations, certificats, questionnaires de satisfaction) sont transmis uniquement apr\u00e8s r\u00e9ception compl\u00e8te du paiement, sauf accord \u00e9crit sp\u00e9cifique. Il en va de m\u00eame pour les rapports d\u2019intervention ou de v\u00e9rification.<\/p>\n\n\n\n Dans le cadre des prestations de formation propos\u00e9es par OFSIP S.A.R.L., chaque apprenant fait l\u2019objet d\u2019une \u00e9valuation individuelle fond\u00e9e sur une grille certificative ou normative, propre soit \u00e0 un dispositif de formation officiel, soit \u00e0 un r\u00e9f\u00e9rentiel interne d\u00e9velopp\u00e9 par OFSIP.<\/p>\n\n\n\n Ces grilles comportent des crit\u00e8res dits incontournables, qui sont pr\u00e9sent\u00e9s explicitement au d\u00e9but de la formation par l\u2019intervenant, et conditionnent l\u2019obtention d\u2019une attestation, d\u2019un certificat ou d\u2019une certification professionnelle.<\/p>\n\n\n\n En cas de non-respect ou d\u2019\u00e9chec \u00e0 l\u2019un ou plusieurs de ces crit\u00e8res incontournables, le participant ne pourra pas \u00eatre certifi\u00e9 \u00e0 l\u2019issue de la formation, m\u00eame s\u2019il a suivi l\u2019int\u00e9gralit\u00e9 de la session.<\/p>\n\n\n\n Il est express\u00e9ment convenu entre les Parties que cet \u00e9chec individuel ne remet en aucun cas en question l\u2019ex\u00e9cution de la prestation ni la validit\u00e9 de la facture, \u00e9mise 24 heures ouvr\u00e9es avant le d\u00e9but de la formation.<\/p>\n\n\n\n Le montant int\u00e9gral de la formation demeure donc d\u00fb, ind\u00e9pendamment de la r\u00e9ussite ou non de l\u2019apprenant, ce que le Client reconna\u00eet et accepte express\u00e9ment en validant le devis.<\/p>\n\n\n\n En cas de besoin de contr\u00f4les r\u00e9glementaires p\u00e9riodiques, un contrat de prestation sp\u00e9cifique pourra \u00eatre sign\u00e9 entre les Parties pour d\u00e9finir les modalit\u00e9s d\u2019intervention, les engagements d\u2019OFSIP et les conditions tarifaires applicables.<\/p>\n\n\n\n OFSIP est assur\u00e9e en responsabilit\u00e9 civile professionnelle aupr\u00e8s de Foyer Assurance. Tous les contenus, supports, outils et documents transmis ou utilis\u00e9s par OFSIP dans le cadre de ses prestations sont et restent sa propri\u00e9t\u00e9 exclusive. Toute reproduction, diffusion ou r\u00e9utilisation est interdite sans accord \u00e9crit pr\u00e9alable.<\/p>\n\n\n\n Les donn\u00e9es personnelles sont trait\u00e9es dans le respect du RGPD et de la l\u00e9gislation luxembourgeoise. Le Client peut exercer ses droits d\u2019acc\u00e8s, de rectification et de suppression \u00e0 tout moment.<\/p>\n\n\n\n OFSIP ne saurait \u00eatre tenue responsable en cas de force majeure ou d\u2019\u00e9v\u00e9nements \u00e9chappant \u00e0 son contr\u00f4le rendant impossible l\u2019ex\u00e9cution de ses obligations (intemp\u00e9ries, indisponibilit\u00e9 de mat\u00e9riel, gr\u00e8ves, incendies, etc.).<\/p>\n\n\n\n Les pr\u00e9sentes CGV sont r\u00e9gies par le droit luxembourgeois. For services falling outside this scope, a specific service agreement with particular clauses must be negotiated and signed by both Parties.<\/p>\n\n\n\n Acceptance of a quotation or price offer by the Client constitutes a firm and definitive order, and acceptance of these GTCS to the exclusion of all other conditions. OFSIP reserves the right to refuse any request for modification of an offer after its acceptance, unless expressly agreed in writing.<\/p>\n\n\n\n Price offers are valid for 30 days from the date of issue. Prices are expressed in euros, exclusive of tax (excl. VAT) and inclusive of all taxes (incl. VAT). After this period, OFSIP reserves the right to revise its pricing conditions without notice. Any subsequent order will be subject to a new quotation.<\/p>\n\n\n\n Services are performed within the agreed deadlines, subject to the availability of products, personnel, and access to premises. Invoices are payable wxithin 30 days of the invoice date by bank transfer. Any delay in payment will result in penalties of 10% per month, without prejudice to OFSIP\u2019s right to suspend its services.<\/p>\n\n\n\n Any modification or cancellation must be made in writing and approved by OFSIP.<\/p>\n\n\n\n In-company or open training programs:<\/strong> Cancellations initiated by OFSIP for open training sessions:<\/strong> Other services:<\/strong> Fees may apply in the event of unanticipated cancellation or postponement, including incurred costs, operational losses, or logistical arrangements already planned.<\/p>\n\n\n\n Delivery is made to the address agreed upon. Risk is transferred to the Client upon delivery. Delivered products remain the property of OFSIP until full payment of the invoice.<\/p>\n\n\n\n Products are covered by the manufacturer\u2019s warranty as outlined in the technical documentation. This warranty excludes any failure due to normal wear and tear, misuse, or lack of maintenance.<\/p>\n\n\n\n Any supply, compliance update, or service not included in the initial offer will be subject to a separate quotation, which must be accepted in writing by the Client. Execution is conditional on such acceptance.<\/p>\n\n\n\n Training documents (attendance sheets, certificates, diplomas, satisfaction surveys) are only sent after full payment has been received, unless otherwise specifically agreed in writing. This also applies to inspection or service reports.<\/p>\n\n\n\n As part of the training services offered by OFSIP S.A.R.L., each learner is subject to individual evaluation based on a certification or standard-based grid, either from an official training system or developed internally by OFSIP.<\/p>\n\n\n\n These grids include essential criteria that are clearly presented at the beginning of the session by the trainer and are required to obtain a certificate or qualification.<\/p>\n\n\n\n Failure to meet one or more of these essential criteria will result in the participant not being certified, even if they attended the entire session.<\/p>\n\n\n\n It is expressly agreed by the Parties that such an individual failure does not affect the performance of the service nor the validity of the invoice, which is issued 24 business hours before the beginning of the session.<\/p>\n\n\n\n The total amount of the training remains due regardless of the participant\u2019s result, which the Client acknowledges and expressly accepts when validating the quotation.<\/p>\n\n\n\n In the event of periodic regulatory inspection needs, a specific service contract may be signed between the Parties to define the intervention terms, OFSIP\u2019s commitments, and the applicable pricing.<\/p>\n\n\n\n OFSIP is covered by professional civil liability insurance with Foyer Assurance. All content, materials, tools, and documents provided or used by OFSIP in the course of its services are and remain its exclusive property. Any reproduction, distribution, or reuse is strictly prohibited without prior written permission.<\/p>\n\n\n\n Personal data is processed in compliance with the GDPR and Luxembourg legislation. The Client may exercise their rights to access, rectification, or deletion at any time.<\/p>\n\n\n\n OFSIP shall not be held liable in the event of force majeure or circumstances beyond its control that render the execution of its obligations impossible (weather events, equipment unavailability, strikes, fires, etc.).<\/p>\n\n\n\n These GTCS are governed by Luxembourg law<\/strong>. \u2022 Services related to Occupational Health and Safety (OHS).<\/p>\n\n\n\n2. Acceptance of the Offer<\/strong><\/h3>\n\n\n\n

4. Orders, Execution, and Payment<\/strong><\/h3>\n\n\n\n
Invoices are issued:
\u2022 Training services:<\/strong> The first day of training and no later than 24 business hours before the first day of the session;
\u2022 Other services:<\/strong> after completion of the service.<\/p>\n\n\n\n5. Modifications, Cancellations, and Postponements<\/strong><\/h3>\n\n\n\n
\u2022 Cancellation less than 24 business hours before the session: 100% of the total amount will be invoiced.
\u2022 Postponement\/modification requests must be submitted at least 7 business days before the scheduled date.<\/p>\n\n\n\n
OFSIP reserves the right to cancel a session up to 7 business days before the start date if the minimum number of three (3) participants is not reached. No fees will be charged to the Client in such cases, and a new date may be proposed.<\/p>\n\n\n\n6. Delivery, Transfer of Risk, and Retention of Title<\/strong><\/h3>\n\n\n\n
